EXHIBIT A

StoneMor Partners L.P. (the “Company”) did not file its Annual Report on Form 10-K for the fiscal year ended December 31, 2008 within the prescribed period because the Company needed additional time to complete the audit of its financial statements for the fiscal year ended December 31, 2008.

EXHIBIT B

Total Revenues of $145.3 million for the year ended December 31, 2007 are expected to increase to $180.5 million for the year ended December 31, 2008(a). Operating Profit of $12.6 million for the year ended December 31, 2007 is expected to increase to $15.5 million for the year ended December 31, 2008(a). The Company expects a net profit of approximately $2.3 million for the year ended December 31, 2008(a) compared to a net profit of $2.8 million for the year ended December 31, 2007. Net Cash provided by Operating Activities of $19.0 million for the year ended December 31, 2007 is expected to be approximately $21.1 million for the year ended December 31, 2008(a).
