Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On August 27, 2008, the Registrant’s Board of Directors authorized management to transfer the listing of its common stock from The American Stock Exchange (AMEX) to The NASDAQ Stock Market (NASDAQ). The Registrant expects to file the appropriate NASDAQ listing application and notify AMEX of its intention to withdraw its listing shortly. The Registrant expects to begin trading on NASDAQ under its current symbol “MPB” during the 4th Quarter.
