Item 8.01 Other Events.

Semtech Corporation (the “Company) today reports that it is undertaking certain activities intended to enhance overall execution and improve the cost structure in some of its business units. The Company currently estimates that this undertaking could result in an approximate 5% reduction in the worldwide workforce and that there could be a one-time pre-tax cost associated with these actions of approximately $1.8 million in the first quarter of fiscal year 2009 that ends on April 27, 2008.
