Item 1.01 Entry into a Material Definitive Agreement.

On August 31, 2006, Grosvenor Square Hotel S.a.r.l. (the “Borrower”) and Lomar Hotel Company Ltd, wholly owned subsidiaries of Strategic Hotel Funding, L.L.C. (“SH Funding”), the operating company of Strategic Hotels & Resorts, Inc. (the “Company”), entered into a Facility Agreement (the “Facility Agreement”) with Barclays Bank PLC, as lender and Barclays Capital Mortgage Servicing Limited, as security agent. The Facility Agreement provides the Borrower with a £77,250,000 revolving loan maturing on August 30, 2007 with the option to convert to a term loan maturing on October 15, 2013 (the “Loan”). Interest accrues at the rate of LIBOR plus 1.10% per annum. The foregoing description of the Loan is qualified in its entirety by reference to the Facility Agreement, which will be attached as an exhibit to the Company’s Quarterly Report on Form 10-Q for the quarterly period ended September 30, 2006 which the Company intends to file in November 2006.

Item 2.01 Completion of Acquisition or Disposition of Assets.

On August 31, 2006, Pingleton Holding S.a.r.l. (the “Purchaser”), a wholly owned subsidiary of SH Funding, closed on its previously announced acquisition of the Marriott London Grosvenor Square hotel from BRE/Europe 2, S.a.r.l., an affiliate of Blackstone Real Estate Partners (the “Seller”), for a purchase price of £103.0 million ($192.0 million) (the “Acquisition”). The Acquisition was funded using borrowings under the Company’s bank credit facility and under the Loan.

The foregoing description of the Acquisition is qualified in its entirety by reference to the Agreement, dated as of July 28, 2006, between the Purchaser and the Seller, a copy of which is attached to this Current Report on Form 8-K (this “Current Report”).
