As further described in the press release referred to in Item 7. The company entered into a new supply agreement with VistaPrint Ltd., a major customer.

On April 21, 2005, MOD-PAC CORP. issued a press release announcing that it signed a North American Supply Agreement for 2005-2006 with VistaPrint Ltd., a major customer, and modified its current North American Supply agreement. The press release is annexed as Exhibit 99.1 to this Current Report on Form 8-K.
