Item 1.01 Entry into a Material Definitive Agreement.
 
On April 10, 2007, Internap Network Services Corporation (the “Company”) entered into a General Release and Separation Agreement (the “Agreement”) with Eric Klinker, former Vice President of Engineering and Chief Technology Officer, in connection with the termination of Mr. Klinker’s employment effective March 31, 2007.  The Agreement provides, among other things,  that Mr. Klinker will receive a cash payment and will have certain non-disclosure obligations.

The foregoing description of the Agreement is qualified in its entirety by the terms of the Agreement, which is filed herewith as Exhibit 10.1 and incorporated herein by reference.
