Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
On May 5, 2013, Hooker Furniture Corporation (the “Company”), entered into a consulting agreement with Arthur G. Raymond, Jr., the Company’s former Senior Vice-President of Casegoods Operations. Mr. Raymond served in that capacity until January 31, 2013, when his employment agreement expired by its terms. Mr. Raymond continued to be employed by the Company in a full-time, non-executive capacity until March 29, 2013. Under the consulting agreement, Mr. Raymond will provide part-time consulting services on an as-needed basis for several specific operations-related projects that Mr. Raymond supervised while employed by the Company. The Company expects to pay Mr. Raymond approximately $14,000 per month in fees and related expenses over an approximate twelve-month period. The agreement may be terminated by either party with thirty-day’s written notice.
