(the “Company” or “TESARO”), relating to the proposed acquisition of the Company, pursuant to the terms of an Agreement and Plan of Merger, dated as of December 3, 2018 (the “Merger Agreement”), among the Company, GlaxoSmithKline plc (“Parent” or “GSK”), and Adriatic Acquisition Corporation, an indirect wholly-owned Subsidiary of Parent (“Purchaser”). A copy of the acquisition questions and answers is attached hereto as Exhibit 99.1 and incorporated herein by reference.

The tender offer for TESARO’s outstanding common stock described in this communication has not yet commenced.
