Item 5.02.  Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On August 28, 2007, Dr. Stefan Graul notified SPACEHAB, Incorporated (the “Company”) of his decision to resign form its Board of Directors effective August 28, 2007.  Dr. Graul’s decision to resign is not a result of a disagreement with the Company related to the Company’s operations, policies or practices.
