Item 8.01.  Other Events

On May 31, 2007, Duke Energy Carolinas, LLC (the “Company”) entered into an underwriting agreement with Merrill Lynch, Pierce, Fenner & Smith Incorporated and Morgan Stanley & Co. Incorporated, as representatives of the several underwriters named therein (the “Underwriters”), pursuant to which the Company agreed to issue and sell to the Underwriters $500,000,000 aggregate principal amount of its 6.10% Senior Notes due 2037 (the “Notes”).  The Notes were sold to the Underwriters at a discounted price to their principal amount.  The Notes were issued under an indenture, dated as of September 1, 1998, as amended by the Sixteenth Supplemental Indenture, dated as of June 5, 2007, relating to the Notes, between the Company and The Bank of New York (as successor to J.P. Morgan Chase Bank, N.A.).  The disclosure in this Item 8.01 is qualified in its entirety by the provisions of the Supplemental Indenture, which is attached hereto as Exhibit 4.1 and the Underwriting Agreement, which is attached hereto as Exhibit 99.1, and are incorporated herein by reference.
