Item 4.01.                                          Change in Registrant’s Certifying Accountant

 

On February 14, 2006, Mercantile Bankshares Corporation (the “Company”) notified PricewaterhouseCoopers LLP (“PwC”) of the decision of the Audit Committee of the Company's Board of Directors to dismiss PwC as the Company’s independent registered public accounting firm, effective upon completion of PwC’s procedures regarding of the Company’s financial statements as of and for the year ended December 31, 2005 and the Form 10-K in which such financial statements will be included.

 

The reports of PwC on the financial statements of the Company as of and for the years ended December 31, 2004 and 2003 did not contain an adverse opinion or a disclaimer of opinion, and were not qualified or modified as to uncertainty, audit scope or accounting principles.

 

During the years ended December 31, 2004 and 2003, and through February 14, 2006, there were no (a) disagreements with PwC on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreements, if not resolved to PwC’s satisfaction, would have caused PwC to make reference thereto in its reports on the Company’s financial statements for such years, or (b) reportable events, as described under Item 304(a)(1)(v) of Regulation S-K.

 

The Company provided PwC with a copy of the foregoing disclosures and requested from PwC a letter indicating whether it agrees with such disclosures. A copy of PwC’s letter, dated February 20, 2006, is attached as Exhibit 16.

 

On February 14, 2006, the Company notified Ernst & Young LLP (“E&Y”) of the Audit Committee’s selection of E&Y as the Company’s new independent registered public accounting firm for the year ended December 31, 2006. During the years ended December 31, 2005 and 2004, and through February 14, 2006, the Company did not consult with E&Y regarding any of the matters or events set forth in Item 304(a)(2)(i) and (ii) of Regulation S-K.
