Digimarc Corporation (the “Company”) issued a press release on June 1, 2005 announcing that it had filed an amendment to its Form 10-K for the year ended December 31, 2004, to include management’s assessment of the effectiveness of internal control over financial reporting and the related attestation report of the Company’s independent registered public accounting firm as required by Section 404 of the Sarbanes-Oxley Act of 2002. The full text of the press release is attached as Exhibit 99.1 hereto and incorporated herein by reference.
