On May 16, 2005, BIO-key International, Inc. (the “Registrant”) issued a press release announcing its financial results for the quarter ended March 31, 2005.  A copy of such press release of the Registrant is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference in its entirety.
